Job Description
To assist the Senior Manager; General Contracts in drafting and reviewing general contracts.
Main Responsibilities:
- Draft, review, negotiate, and finalize general and non-lending contracts using approved templates and in accordance with applicable laws, bank policies, and internal approval requirements.
- Identify legal, commercial, operational, and reputational risks in proposed contractual terms; recommend appropriate protections and escalate material issues to the Senior Manager; General Contracts.
- Coordinate contract review, approval, execution, amendment, renewal, and termination, ensuring that supporting documents and approvals are complete.
- Maintain accurate contract records and update the contract register, including key obligations, renewal dates, expiry dates, and other critical milestones.
- Support the development and consistent application of contract templates, clauses, checklists, and guidance notes.

- Prepare and administer all standard contracts as well as ensure proper documentation
Legal Support and Contract Advisory - Provide timely, practical, and commercially sound legal advice to branches, departments, and business units on contract interpretation, legal obligations, remedies, and compliance requirements.
- Conduct legal research and prepare legal opinions, briefs, correspondence, memoranda, and other documents required for business decisions, internal governance, and regulatory compliance.
- Represent the Bank in courts, tribunals, arbitration proceedings, and regulatory forums by managing litigation matters, preparing legal documents, presenting the Banks position, coordinating with external advocates, and safeguarding the Banks legal and commercial interests.
Regulatory Compliance & External Liaison - Prepare and submit contracts to TRA and other relevant authorities, ensuring compliance with statutory requirements.
- Monitor changes in laws, regulations, and regulatory guidance affecting contracts and advise the Senior Manager; General Contracts and relevant stakeholders on their implications.
Risk Management & Advisory - Assess legal and contractual risks in assigned matters, propose proportionate mitigation measures, and escalate significant or unresolved exposures to the Senior Manager; General Contracts.
Stakeholder Engagement & Support - Serve as the legal contact for assigned departments, and business units, responding to requests within agreed service timelines and providing clear progress updates.
Knowledge and Skills:
- Knowledge of Contract drafting and review, Banking and Company law.
- Business understanding of legal and risk management framework
- Must have sufficient knowledge of all legal regulations in Tanzania.
- Must demonstrate flexibility in day to day work.
- Excellent communication and interpersonal skills - must follow established communication guidelines and use good judgment in what and how to communicate with internal/external clients.
Qualifications and Experience:
- Bachelor's degree in Law (LLB)
- Must be a Practicing Advocate
- Master's degree in business studies is an added advantage
- Banking certification(s) is an added advantage
- Minimum of 3 years' experience in a dynamic and fast-paced commercial legal environment.
